STATUTE

§ 1 Name, location and purpose of the association

(1) The association is called „Internationaler Förderverein der Fondation Helga Heidrich SOS Tier- und Artenschutz e.V“ (hereinafter referred to as the association)

(2) The association is registered in the association register of the Hanover District Court

(3) Location of the association: Germany, 30938 Burgwedel, Hohles Moor 23

(4) The association submits an application to the Burgdorf tax office for tax relief due to non-profit status and charity

(5) Non-profit status
The support association pursues exclusively and directly charitable purposes within the meaning of the “Tax-privileged purposes” section of the tax code. The sponsoring organization works selflessly; it does not primarily pursue its own economic purposes. The association's funds may only be used for statutory purposes. The members do not receive payments from the association. No person may be favored through expenses that are alien to the purpose of the association or through disproportionately high remuneration.

The purpose of the association is to promote animal and species protection in Germany and to raise funds for this purpose. The purpose is achieved in particular by:
a) the intellectual and financial support of the "Internationaler Förderverein der Fondation Helga Heidrich SOS Tier- und Artenschutz e.V"
b) supporting the projects:
1 - Construction and management of sanctuaries in Morocco
2 - Organization of mobile veterinary stations
3 - Sanctuaries, protection programs of endangered species living in Morocco
c) the organization of charity and benefit events

§ 2 Organs of the Association

(1) The Executive Board is composed as follows: 
a) the executive board
b) the assembly of members

(2) The executive board
a) The executive board within the meaning of § 26 BGB is the first chair. The executive board represents the association in and out of court and has the status of a legal representative. The first chair is authorized to conduct business transactions, open bank accounts, sign checks and transfers.
b) The executive board is elected for a period of four years. Re-election is permitted. The board members remain in office until new elections.

(3) The Assembly of Members
a) The assembly of members decides in particular on the election of the executive board, the discharge of the executive board, the amount of member contributions, the review and approval of the annual accounts, amendments to the articles of association and dissolution of the association, admission and exclusion of members.
b) The assembly of members must be convened by the executive board at least once a year.
c) The invitation to the general meeting of the assembly of members is given in writing with a notice period of two weeks, including a notification of the agenda.
d) The assembly of members shall have a quorum if duly convened.
e) A record of the decisions is drawn up and must be signed by the secretary.

§ 3 Members

(1) Start / End of Membership
a) Any natural or legal person who respects the aim of the association and the interests of the association can become a member of the association.
b) The association consists of active, passive, sponsoring and honorary members.
c) Membership must be requested in writing to the executive board. The executive board makes a final decision on the written application for inclusion. The executive board is not obliged to inform the applicant of the reasons for refusal.
d) The membership ends by voluntary withdrawal, exclusion, deletion from the list of members or death of the member as well as by the loss of legal capacity in the case of a legal person.
e) The voluntary termination of the membership must be declared to the executive board in writing at the end of the fiscal year, taking into consideration a three-month notice period. The termination will be effective at the end of the fiscal year.
f) The expulsion of members with immediate effect and for an important reason, can be pronounced if the member grossly violates the articles of association, regulations, the statutory purpose or the club interests. The executive board decides on the exclusion of a member by simple majority vote. The member must be given the opportunity to make his/her views known to the association's executive committee regarding the allegations made, subject to a two-week notice period. Upon termination of the membership for any reason, all claims from the membership relationship expire. A return of contributions, donations or other support services is generally excluded. This does not affect the club's claim for outstanding contributions.


(2) Membership Fees
The level of the annual members' and sponsoring contributions is governed by the applicable contributions rules, which are adopted by the assembly of members. Contributions are not donations.

§ 4 Fiscal Year

The fiscal year is the calendar year.

§ 5 Place of jurisdiction

The place of jurisdiction for all disputes is the registered office of the association.

§ 6 Cash Auditor

The cash register of the association shall be audited by two auditors for each past financial year. They must receive all treasury management documents in good time before the annual meeting so that they can prepare the audit report. The cash auditors must inform the assembly of members of the outcome of the cash audit.

§ 7 Finances

(1) The association is financed from membership fees, donations, proceeds from charitable and charitable events and public grants. The members, in their capacity as members, do not receive any money from the association. Returning members have no right to the club's assets.

§ 8 Dissolution of the association

If the association is dissolved or abolished or if tax-privileged purposes cease to exist, the association's assets shall be passed over to other domestic tax-privileged animal protection associations, which must use the assets to promote animal welfare. Decisions about future use may only be carried out with the consent of the tax office.


The above content of the statutes was decided and unanimously accepted by the founding meeting on May 2, 2010. The amendments to the statutes were unanimously accepted and signed by the founding members present at the meeting on October 10, 2010. The changes come into force on the date of registration with the responsible local court.
